This Agreement (the “Agreement”) is entered into as of the [•]th day of January, 2013 (the "Effective Date"), by and among: (i) GeoGlobal Resources Inc., a company no. 2364105 incorporated under the laws of the State of Delaware, USA, with its principal address at Suite 200, 625 - 4th Avenue S.W.
