This NON-REDEMPTION AGREEMENT (this “Agreement”), dated as of March 25, 2024, is made by and among Andretti Acquisition Corp., a Cayman Islands exempted company limited by shares (which shall transfer by way of continuation to and domesticate as a Delaware corporation named “Zapata Computing Holdings Inc.” in accordance with the Transaction Agreement (as defined below), the “Company”), and the Backstop Investor (as defined below).
