AGREEMENT AND PLAN OF MERGER, dated as of October 22, 2003 (the “Agreement”), by and among ONSTREAM MEDIA CORPORATION, a Florida corporation (“ONSTREAM”), VISUAL DATA CORPORATION, a Florida corporation (“VDAT”), and OSM, INC., a Florida corporation (“SUB”), which is a direct wholly-owned subsidiary of VDAT.
