THIS SECOND AMENDED AND RESTATED OPERATING AGREEMENT OF UTILIQUEST, LLC (this “Agreement”) is made and entered into as of December 29, 2003 (the “Effective Date”), by and between UtiliQuest, LLC, a limited liability company formed under the Georgia Limited Liability Company Act (the “Company”) and UtiliQuest Holdings Corp., a Delaware corporation and the sole member of the Company (the “Sole Member”).

This Limited Partnership Agreement (this “Agreement”) is entered into on or effective as of the day of November 2000, by and between CAN-AM COMMUNICATIONS, INC. (the “General Partner”), and SCHENCK COMMUNICATIONS LIMITED PARTNERSHIP, an Alaska limited partnership (the “Limited Partner”) (the Limited Partner and the General Partner are sometimes hereinafter collectively referred to as the “Partners’).
