This REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of the 20th day of March, 2006, by and between VERSO TECHNOLOGIES, INC., a Minnesota corporation (the “Company”), and J.P. TURNER & COMPANY, L.L.C. (the “Shareholder”).
