THIS AMENDED AND RESTATED PLEDGE AGREEMENT, dated as of April 26, 2006 (together with all amendments, if any, from time to time hereto, this “Agreement”), among each of the parties named as a Pledgor on the signature pages hereto (each individually, a “Pledgor” and collectively, the “Pledgors”) and BANK OF AMERICA, N.A., a national banking association, in its capacity as collateral and administrative agent (together with its successors in such capacity, the “Agent”) for the Secured Parties (as defined in the Loan Agreement (defined below)).

THIS AMENDED AND RESTATED PARENT GUARANTEE (as at any time amended, restated, modified or supplemented, this “Guarantee”), is made and entered into as of April 26, 2006, by ENPRO INDUSTRIES, INC., a North Carolina corporation (the “Guarantor”), in favor of BANK OF AMERICA, N.A., a national banking association, in its capacity as collateral and administrative agent (together with its successors in such capacity, the “Agent”) for the Secured Parties (as such term is defined in the Loan Agreement (defined below)).
