THIS CONTRIBUTION AND FORMATION AGREEMENT (this “Agreement”) is made and entered into as of May 2, 2006, by and between COUSINS PROPERTIES INCORPORATED, a Georgia corporation (“Cousins”), CP VENTURE THREE LLC, a Delaware limited liability company (“Other Owner”), as to the Property owned by Other Owner as shown on Schedule A attached hereto and made a part hereof, and THE PRUDENTIAL INSURANCE COMPANY OF AMERICA, a New Jersey corporation (“Prudential”).
