This Restricted Stock Unit Award Agreement (“Agreement”) is entered into as of February 28, 2006, (the “Date of Grant”) between Andrx Corporation, a Delaware corporation (“Company”) and Thomas P. Rice, an employee of the Company or one of its subsidiaries (“Employee”), pursuant to the Company’s 2000 Stock Option Plan, as amended and restated (the “2000 Plan”).
