This REGISTRATION RIGHTS AGREEMENT dated April 12, 2006 (the “Agreement”) is entered into by and among AutoNation, Inc., a Delaware corporation (the “Company”), the guarantors listed in Schedule 1 hereto (the “Guarantors”), and J.P. Morgan Securities Inc., Banc of America Securities LLC and Wachovia Capital Markets, LLC, as representatives of the several initial purchasers listed on Schedule 2 hereto (the “Initial Purchasers”).
