THIS AGREEMENT (this “Agreement”) is made and entered into this 31st day of August, 2006, by and between SUPERIOR BANCORP, a Delaware corporation (“Company”), and STACEY W. MANN (“Executive”), and shall be effective immediately prior to the consummation of the Merger as defined below.

This Agreement (“Agreement”), dated as of August 31, 2006, is between Superior Bank, its successors, assigns and affiliated companies (the “Company”) and William H. Caughran, Jr. (the “Executive”).
