THIS AGREEMENT AND PLAN OF REORGANIZATION AND SHARE EXCHANGE (this “Agreement”), is made and entered into as of May 16, 2006, by and between THE SCOTTISH BANK, a banking corporation organized under the laws of the State of North Carolina and having its principal place of business in the City of Charlotte, Mecklenburg County, North Carolina (the “Bank”), and TSB FINANCIAL CORPORATION, a North Carolina corporation (the “Holding Company”).
