This First Amendment to Third Amended and Restated Credit Agreement is dated as of November 14, 2006 (this “Amendment”), by and among RARE HOSPITALITY INTERNATIONAL, INC., a Georgia corporation (the “Borrower”), the Lenders party to the Credit Agreement referenced below (the “Lenders”), and WACHOVIA BANK, NATIONAL ASSOCIATION, as administrative agent (the “Administrative Agent”) for the Lenders.
