THIS AGREEMENT (the “Agreement”) by and between S1 Corporation (“S1” or the “Company”), and John A. Stone (“You” or “Your”) (collectively, the “Parties”), is entered into and effective as of November 30, 2006 (the “Effective Date”).

You have tendered your resignation from S1 Corporation (the “Company”) effective December 1, 2006 (the “Separation Date”). In order to ensure a smooth transition of responsibilities, the Company has agreed to engage you on a consulting basis and make certain payments to you as set forth in this letter agreement (“Agreement”), which sets forth the terms under which your employment with the Company is ending, effective on the Separation Date. We desire to resolve any and all issues relating to your employment and the conclusion of your employment with the Company amicably on mutually satisfactory terms.
