Agreement dated as of May ___, 2007 (this “Agreement”) among WorldGate Communications, Inc., a Delaware corporation (the “Company”), David Tomasello, and Antonio Tomasello (together with David Tomasello, individually or collectively, being the “Tomasello Group”).
