This Amendment to the Credit Agreement referred to below is dated as of July 20, 2007 (the “Amendment”), by and among BOWATER CANADIAN FOREST PRODUCTS INC., a company organized under the laws of the Province of Nova Scotia, in its capacity as Borrower under the Credit Agreement referred to below (the “Borrower”), BOWATER INCORPORATED, a corporation organized under the laws of Delaware, in its capacity as a Guarantor under the Credit Agreement referred to below (the “U.S. Borrower”), BOWATER CANADIAN HOLDINGS INCORPORATED, a company organized under the laws of the Province of Nova Scotia (the “Parent Grantor”), certain Subsidiaries of the Borrower party hereto (the “Subsidiary Grantors” and, together with the Parent Grantor, the “Additional Grantors”), the lenders party hereto (the “Lenders”) pursuant to an authorization (in the form attached hereto as Exhibit A, each a “Lender Authorization”) and THE BANK OF NOVA SCOTIA, as administrative agent (the “Administrative Agent”) for the Lend
