First Supplemental Indenture (this “Supplemental Indenture”), dated as of August , 2007, among COVENTRY HEALTH CARE, INC., a Delaware corporation (the “Company”), and Union Bank of California, N.A., a national banking association duly organized and existing under the laws of the United States of America, as trustee with respect to the series of Securities specified below under the Indenture referred to below (the “New Trustee”).
