THIS AMENDED AND RESTATED CHANGE-IN-CONTROL AGREEMENT is made and entered into as of the 29th day of August 2007 and amends and restates the Change-in-Control Agreement dated May 23, 2007 by and between TSB FINANCIAL CORPORATION (the “Company”), a North Carolina corporation, and Janet H. Hollar (“Employee”), an individual residing in Charlotte, North Carolina.

THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) dated as of August 29, 2007 is by and between SCBT Financial Corporation, a South Carolina corporation (“Buyer”), and TSB Financial Corporation, a North Carolina corporation (“Seller”).
