Settlement Agreement (the “Settlement Agreement”) is entered into on this 24th day of January, 2008 by and between MasTec North America, Inc., a Florida corporation (“Seller”), and ATLAS Traffic Management Systems LLC, a Delaware limited liability company formerly known as LM-ITS Acquisition Company LLC (“Buyer”).

This AMENDED AND RESTATED ASSET PURCHASE AGREEMENT (as amended and restated herein, the “Agreement”) is hereby made and entered into as of the 14th day of February, 2007, by and between ATLAS Traffic Management Systems LLC, a Delaware limited liability company formerly known as LM-ITS Acquisition Company LLC (“Buyer”), and MasTec North America, Inc., a Florida corporation (“Seller”).
