THIS AMENDED AND RESTATED CHANGE IN CONTROL AGREEMENT (the “Agreement”) amends and restates in its entirety as of the 19th day of November, 2007, the Change in Control Agreement by and between Genuine Parts Company, a Georgia corporation (the “Company”) and (“Executive”), originally dated as of the day of 2006.
