As a Dutch citizen the Employee has entered into the employment by Wright Cresmacoli Ortho N.V. in Belgium as of 19 May 2005, because by then no group company had been incorporated in the Netherlands, yet. THIS AGREEMENT AND PLAN OF MERGER AND REORGANIZATION (the “Agreement”) is made and entered into as of March 7, 2008, by and among Wright Medical Technology, Inc., a Delaware corporation (“Parent”), LAB Acquisition Corp., a Delaware corporation and wholly owned subsidiary of Parent (“Sub”), INBONE Technologies, Inc., a Delaware corporation (the “Company”), and Jeffrey Dunn as the Stockholder Representative.
