This Stock Purchase Agreement (together with the Schedules and Exhibits attached hereto, this “Agreement”), dated as of May 14, 2008, by and among Celgard Acquisition Corp., a company organized and existing under the laws of the Cayman Islands (the “Buyer”), Yurie Wide Corporation, a stock company organized and existing under the laws of the Republic of Korea (the “Company”), and the stockholders of the Company as set forth on Exhibit A to this Agreement (the “Stockholders”).
