WHEREAS, the Investment Adviser has entered into an Investment Advisory Agreement dated as of January 1, 1997, as amended, (“Advisory Agreement”) with Transamerica Series Trust (“TST”), a Delaware statutory trust which is registered as an open-end management investment company under the Investment Company Act of 1940 (“1940 Act”), to provide or procure investment advisory services with respect to Transamerica Efficient Markets VP (the “Portfolio ”), a separate series of TST; and
