THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of November 28, 2008, by and between PRG-Schultz International, Inc., a Georgia corporation (the “Company”), and Bradley T. Roos (the “Executive”). This Agreement supersedes, replaces and terminates any employment agreement previously entered into by and among the Company and/or any of its subsidiaries and the Executive.

Executive and Company are sometimes hereinafter referred to together as the “Parties” and individually as a “Party.”
