THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”), entered into this 30th day of January, 2009, by and between AmSurg Corp., a Tennessee corporation with its principal place of business at 20 Burton Hills Boulevard, Nashville, Tennessee 37215 (“Company”), and Christopher A. Holden (“Officer”), hereby amends and replaces in its entirety that certain Employment Agreement, dated October 1, 2007, as amended (the “Original Agreement”), between the Company and Officer.
