THIS FOURTH AMENDMENT TO AMENDED AND RESTATED CREDIT AGREEMENT dated as of March 4, 2009 (the “Agreement”) is entered into among Gevity HR, Inc., a Florida corporation (the “Borrower”), the Guarantors, the Lenders and Bank of America, N.A., as Administrative Agent. All capitalized terms used herein and not otherwise defined herein shall have the meanings given to such terms in the Credit Agreement (as defined below).

This AMENDMENT, dated as of March 4, 2009 (this “Amendment”), is made to the Rights Agreement dated as of April 23, 2002, as amended by the First Amendment and Supplement to Rights Agreement, dated as of March 5, 2003, and the Second Amendment and Supplement to Rights Agreement, dated as of June 6, 2003 (as amended, the “Rights Agreement”), by and between GEVITY HR, INC. (f/k/a Staff Leasing, Inc. d/b/a Gevity HR) (the “Company”) and AMERICAN STOCK TRANSFER & TRUST COMPANY, as Rights Agent (the “Rights Agent”).
