This CREDIT AGREEMENT (“Agreement”) is entered into as of September 24, 2004, among McKESSON CORPORATION, a Delaware corporation (the “Company”), McKESSON CANADA CORPORATION, a Nova Scotia unlimited company and indirect wholly owned subsidiary of the Company (“McKesson Canada” and, together with the Company, the “Borrowers” and each a “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), BANK OF AMERICA, N.A. acting through its Canada branch, as Canadian Administrative Agent with respect to the Canadian Loans and the Bankers’ Acceptance Facility (as hereinafter defined), BANK OF AMERICA, N.A., as Administrative Agent, and Wachovia Bank, National Association, as L/C Issuer.
