Volcano Corporation, a Delaware corporation (the “Company”), proposes to issue and sell to the several Underwriters listed in Schedule 1 hereto (the “Underwriters”), for whom you are acting as representatives (the “Representatives”), an aggregate of ___ shares of common stock, par value $0.001 per share (the “Common Stock”), of the Company and, at the option of the Underwriters, up to an additional ___ shares of Common Stock, and the stockholders of the Company named in Schedule 2 hereto (the “Selling Stockholders”) propose to sell to the Underwriters an aggregate of ___ shares of Common Stock. THIS MANUFACTURING SERVICES AGREEMENT (the “Agreement”) is entered into and is effective as of the date of execution by both parties, (the “Effective Date”) by and between Volcano Corporation (“VOLCANO”), a Delaware corporation with a principal place of business at 2870 Kilgore Road, Rancho Cordova, CA and Endicott Interconnect Technologies Incorporated (“EI”), a New York company with a principal place of business at 1701 North Street, Endicott, NY, singularly or collectively referred to as a Party or the Parties.
