(“Holdings”) acquires from time to time participation interests in loans originated by the The Huntington National Bank (the “Bank”) and its affiliates under a Second Amended and Restated Loan Participation Agreement between Holdings and the Bank dated March 30, 2004 (the “Holdings Participation Agreement”); and
