THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made as of this 2nd day of May, 2005, by and among Ohio Legacy Corp, an Ohio corporation (the “Bancorp”), Ohio Legacy Bank, N.A., a national banking association (the “Company”) and Mike Kramer (the “Executive”) and shall become effective on May 2, 2005 (the “Effective Date”).
