THIS SETTLEMENT AGREEMENT (this “Agreement”) dated as of March 31, 2006 is by and among Layne Christensen Company, a Delaware corporation (the “Company”), and Steel Partners II, L.P. (the “Partners”), a Delaware limited partnership, Steel Partners, L.L.C., a Delaware limited liability company, and Warren G. Lichtenstein (collectively, the “Investors”).
