Effective May 15, 2006 (“Effective Date”), FirstMerit Corporation (“Corporation”), an Ohio corporation, and Paul Greig (“Executive”), collectively, the “Parties,” enter into this employment agreement to describe the terms and conditions of the Executive’s employment with the Corporation. By signing this Agreement, the Executive specifically represents that he is fully able to assume the duties described in this Agreement as of the Employment Date (as defined below) and is under no obligation or condition that would prevent him from doing so. Although this Agreement is effective as of the Effective Date, it will automatically be revoked as of the Effective Date (other than as described in this section) and all amounts paid to the Executive before that revocation will be restored to the Corporation [1] if, without the specific written consent of the Corporation, the Executive fails to begin active employment with the Corporation no later than June 5, 2006 (“Employment Date”) or [2] on or
