FIVE YEAR CREDIT AGREEMENT, dated as of May 23, 2006 (as amended, supplemented, amended and restated or otherwise modified from time to time, this “Agreement”), among THE SHERWIN-WILLIAMS COMPANY, an Ohio corporation (the “Company”), the LENDERS party hereto (the “Lenders”), CITICORP USA, INC.
