This Credit Agreement (the “Agreement”) is entered into as of the 31st day of May 2006, by and between HEALTH CARE REIT, INC., a Delaware corporation (“HCN”), and each of the entities listed on Schedule I attached hereto (HCN and such other entities may hereinafter be referred to collectively as “Borrowers”), and FIFTH THIRD BANK, an Ohio banking corporation (“Bank”).
