This Amended and Restated Limited Partnership, dated as of August 1, 2006 (the “Agreement”), of Tricadia CDO Fund, L.P. (the “Partnership”), is made by and among Tricadia Capital, LLC, a limited liability company organized under the laws of Delaware, as the general partner (“General Partner”), and the Limited Partners (as herein defined). The term “Partners” shall include any Persons hereafter admitted to the Partnership pursuant to Article I of this Agreement and shall exclude any Persons who cease to be Partners pursuant to Article VI of this Agreement.
