THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement” ) is made and entered into as of August 28, 2006 among DEVELOPERS DIVERSIFIED REALTY CORPORATION, an Ohio corporation (the “Company”), and J.P. Morgan Securities Inc. (“JPMorgan”) and Banc of America Securities LLC (“Banc of America” and, together with JP Morgan, the “Initial Purchasers”).
