THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”) is entered into on December 8, 2006 (the “Execution Date”), to be effective for all purposes as of November 19, 2006 (the “Effective Date”), by and between General Nutrition Centers, Inc., a Delaware corporation (the “Company”) and indirect wholly owned subsidiary of GNC Parent Corporation, a Delaware corporation (“GNC”), and Joseph M. Fortunato (the “Executive”).
