THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of this ___day of January , 2007, by and between the Income Equity Fund (the “Acquiring Fund”) and the Diversified Equity Fund (the “Transferring Fund”), each a series of The Coventry Group (the “Trust”). The Trust is a Massachusetts business trust, with its principal place of business at 3435 Stelzer Road, Columbus, Ohio 43219.
