This TRI-PARTY AGREEMENT (this “Instrument”), dated as of October 24, 2006, by and among OHIO CASUALTY CORPORATION , (The“Issuer”), CITIBANK, N.A., a national banking association duly organized and existing under the laws of the United States of America (the “Prior Trustee”) and U. S. BANK TRUST NATIONAL ASSOCIATION, a national banking association duly organized and existing under the laws of the United States of America (the “Successor Trustee”).
