WHEREAS, CST, SPV Barbados and SPV BVI have executed two (2) Sino-foreign equity joint venture contracts (the “JV Contracts”) on the date of this Agreement for the joint establishment of Cooper Chengshan (Shandong) Tire Company Ltd. and Cooper Chengshan (Shandong) Passenger Tire Company Ltd. (the “JVs”);
