FIVE YEAR CREDIT AGREEMENT, dated as of April 26, 2007 (as amended, supplemented, amended and restated or otherwise modified from time to time, this “Agreement”), among THE SHERWIN-WILLIAMS COMPANY, an Ohio corporation (the “Company”), the LENDERS party hereto (the “Lenders”), CITICORP USA, INC. (“CUSA”), as Administrative Agent (in such capacity the “Administrative Agent”), CUSA, as Issuing Bank (in such capacity, the “Issuing Bank”), and THE BANK OF NEW YORK, as successor to JPMorgan Chase Bank, N.A., as Paying Agent (the “Paying Agent”).
