This EMPLOYMENT AGREEMENT (“Agreement”) is made as of May 7, 2007, by and between PICO Holdings, Inc., a diversified holding company formed under the laws of the state of California (“Company”), and John R. Hart (“Employee”). This Agreement supersedes and replaces the Employment Agreement entered into as of January 1, 2006 between PICO Holdings, Inc. and John R. Hart.
