THIS AGREEMENT AND PLAN OF MERGER (“Agreement”) is made and entered into this ___day of June 2007, by and between: (a) AdCare Health Systems Inc, an Ohio corporation (together with its subsidiaries, affiliates, successors-in-interest, and assigns, referred to as “Adcare, and (b) Family Home Health Services, Inc., a Nevada corporation (together with its subsidiaries, affiliates, successors-in-interest, and assigns, collectively referred to as “Family”). Family and Adcare are referred to herein as a “Party” and, collectively, as the “Parties.”
