This AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of June 1, 2007, by and among Agilysys NV, LLC, a Delaware limited liability company (“Parent”), Agilysys DE, Inc., a Delaware corporation and direct wholly-owned subsidiary of Parent (“Merger Sub”), and IG Management Company, Inc., a Delaware corporation (the “Company”).
