This DEPOSIT AGREEMENT (“Deposit Agreement”) is made and entered into as of January 30, 2008, by and among National City Corporation, a Delaware corporation, Wilmington Trust Company, a Delaware banking corporation, National City Bank and all holders from time to time of Receipts (as hereinafter defined) issued hereunder.
