This AMENDMENT TO STOCKHOLDERS’ AGREEMENT, dated as of March 24, 2006 (this “Amendment”), by and among National City Bank, (Cleveland, Ohio), as depository (“Depository”), the Participating Stockholders under the Stockholders’ Agreement, dated as of March 15, 1990, as amended, NACCO Industries, Inc., a Delaware corporation (the “Corporation”), and the new Participating Stockholders identified on the signature pages hereto (the “New Participating Stockholders”).
