THIS LEASE is made as of this 1st day of October, 2007 (the “Effective Date”), by and between 4300 Venture 34910 LLC, a Delaware limited liability company (hereinafter sometimes referred to as “Landlord”), with offices at 1798 Frebis Avenue, Columbus, Ohio 43206-0410, and eTailDirect LLC, an Ohio limited liability company (hereinafter sometimes referred to as “Tenant”), with offices at 810 DSW Drive, Columbus, Ohio 43219, who hereby mutually covenant and agree as follows:

THIS GUARANTY (this “Guaranty”) is given by DSW Inc., an Ohio corporation, whose principal office is located at 810 DSW Drive, Columbus, OH 43219 (the “Guarantor”), to 4300 Venture 34910 LLC, a Delaware limited liability company (“Landlord”) whose principal office is located at 1798 Frebis Avenue, Columbus, Ohio 43206-0410.
