Unless otherwise defined herein, each capitalized term used in this Restricted Stock Award Agreement shall have the meaning given such term in the Dick’s Sporting Goods, Inc. 2002 Stock and Incentive Plan, as amended (the “Plan”).

SIXTH AMENDMENT to Second Amended and Restated Credit Agreement (referred to below) and FIRST AMENDMENT to Second Amended and Restated Security Agreement (referred to below) (collectively, this “Amendment”), dated as of January 24, 2008, by and among DICK’S SPORTING GOODS, INC., a Delaware corporation (“Borrower”), GENERAL ELECTRIC CAPITAL CORPORATION, a Delaware corporation, as Agent for the Lenders (in such capacity “Agent”), and the Lenders signatory hereto.
