The parties to this Professional Consulting Agreement (this “Agreement”) are GRAHAM Corporation, a Delaware corporation with offices at 20 Florence Avenue, Batavia, New York 14020 (the “Company”), and J. Ronald Hansen, an individual residing at 9295 Fargo Road, Stafford, New York 14143 (the “Consultant”). This Agreement is made and executed as of the 2d day of July, 2008.
