THIS AGREEMENT is made as of June 27, 2008 by and between BROWN BROTHERS HARRIMAN & CO., a limited partnership organized under the laws of the State of New York (the “Administrator”), and THE BJURMAN, BARRY FUNDS, a Delaware statutory trust (the “Fund” on behalf of each series of the Fund listed on Appendix A to this Agreement each a “Portfolio” and collectively, the “Portfolios”).

This Amendment, effective as of December 10, 2007 (the “Amendment”), amends the Distribution Agreement dated as of August 1, 2007 (the “Agreement”) by and between The Bjurman, Barry Funds (the “Trust”) and Foreside Distribution Services, L.P. (“Distributor”). Capitalized terms used but not defined in this Amendment have the respective meanings ascribed to them in the Agreement.
