FIRST SUPPLEMENTAL INDENTURE (the “Supplemental Indenture”), dated as of August 19, 2008, between FERRO CORPORATION, an Ohio corporation (the “Company”), and The Bank of New York Mellon Trust Company, N.A., a national banking association, the successor-in-interest to Chase Manhattan Trust Company, National Association, as trustee (the “Trustee”), to the INDENTURE, dated as of March 25, 1998, between the Company and the Trustee (the “Indenture”).
